Terms and conditions
Last updated: October 2026
1. Scope and parties
These General Terms and Conditions (Terms) apply to all contracts and services of Mokkaa, owner Sarah Zemlyak, Badenerstrasse 580, 8048 Zurich, Switzerland ("Mokkaa").
The person or company booking is referred to as the "Client". Our services are aimed primarily at businesses, self-employed professionals and founders.
Individual agreements, offers and service descriptions take precedence over these Terms where they differ. If the Client is a consumer, mandatory consumer protection law remains unaffected.
2. Services and scope
Mokkaa offers in particular Brand Weeks, Website Weeks, the Brand & Website package and add-ons such as AI Brand Imagery and website copywriting.
Brand Weeks and Website Weeks are exclusively reserved project periods of two weeks each, during which the agreed services are delivered with full focus. In the Brand & Website package, the Website Weeks follow directly after the Brand Weeks.
The specific scope is defined by the respective offer or the service description on the website at the time of booking. Additional services are only included if expressly agreed.
3. Conclusion of contract and booking
After a free, non-binding intro call, the Client receives an offer. The contract is concluded once the Client accepts the offer in writing (email is sufficient) and pays the deposit.
Once the deposit is received, the agreed project period is reserved for the Client.
Before concluding the contract, the Client checks whether scope, requirements and timing suit their project.
4. Prices and payment
The prices agreed at the time of booking apply and are stated in euros. Mokkaa is not registered for VAT; prices are final and no VAT is charged.
Unless otherwise agreed, payment is made in two parts: 50% on booking to reserve the project period and 50% before the final files are handed over. Invoices are payable within ten days unless stated otherwise on the invoice.
Mokkaa may withhold the handover of final files, the launch or the transfer of access until all due payments have been received in full.
Services beyond the agreed scope are offered and invoiced separately.
5. Preparation and cooperation
The weeks depend on good preparation. After booking, the Client receives a checklist and templates.
All content, information, decisions and access needed for the project – in particular copy, images, logos, page structure, links and login details – must be provided in full no later than seven days before the project period starts, unless otherwise agreed.
The Client is responsible for ensuring that the content provided is accurate and may be used lawfully.
6. Missing content before the start
If essential content, access or decisions are missing and the project period therefore cannot be carried out meaningfully, Mokkaa is not obliged to start as planned. In this case the project period may be moved to the next available date.
For a postponement caused by missing or late cooperation of the Client, a rebooking fee of 15% of the project price, but no more than EUR 500, may be charged. Payments already made are credited to the new date.
If only individual items that are not essential for the start are missing, Mokkaa may, at its discretion, start with the available materials. The scope achievable within the project period may change as a result.
7. Timeframe
Mokkaa aims to complete the agreed scope within the reserved project period. This requires complete content provided on time, prompt feedback and approvals, an unchanged scope and functioning external services.
If the project cannot be completed within the reserved period for reasons attributable to the Client, there is no entitlement to a free extension or an immediately following replacement period. Necessary work outside the period may be agreed and invoiced separately.
8. Design process, communication and approvals
Mokkaa follows a focused one-concept approach: instead of several parallel directions, one strategically fitting design direction is developed and refined together. The number of feedback rounds depends on the service booked.
During the project period, Mokkaa and the Client stay in close contact, in particular by email and WhatsApp. The Client is readily available during this time and provides feedback and approvals promptly.
Approval of a project phase confirms the respective design direction. Delays caused by outstanding feedback, missing approvals or later content changes do not automatically extend the project period.
9. Changes to the scope
The scope agreed before the start is the basis for timing and price. Additional pages, features, design variants, extensive content changes or fundamental changes of direction after approval count as an extension.
Mokkaa informs the Client when a request exceeds the agreed scope. Extensions may, by agreement, be implemented within the project period, swapped for other agreed services or offered separately.
10. Postponement by the Client
Project periods are reserved exclusively. Requests to postpone must be made in writing as early as possible and are subject to availability.
- more than 30 days before the start: once, free of charge
- 15 to 30 days before the start: 10% of the project price
- 8 to 14 days before the start: 20% of the project price
- 7 days or less before the start: 30% of the project price
Services already rendered and third-party costs incurred are charged in addition. Payments made are credited to the new date, less any amounts owed. There is no entitlement to a specific replacement date.
11. Termination by the Client
The Client may terminate the contract within the statutory provisions. Services rendered and third-party costs incurred up to that point are invoiced according to effort.
If termination occurs after the project period has been reserved and it cannot be reassigned at short notice, Mokkaa reserves its statutory claims for damages caused by untimely termination.
Payments made are offset against outstanding claims; any remaining credit is refunded. Mandatory statutory rights of withdrawal and termination remain unaffected.
12. Unavailability of Mokkaa
If Mokkaa cannot fully meet the project period due to illness, accident, family emergencies or other unforeseeable circumstances, Mokkaa will inform the Client as early as possible and may reasonably interrupt, extend or move the period to the next possible date, at no additional cost to the Client.
If continuation within a reasonable time is not possible, either party may terminate the contract for services not yet rendered. Services rendered are invoiced; any remaining credit is refunded. Further claims are excluded to the extent permitted by law.
13. Force majeure
Neither party is liable for delays caused by events beyond its reasonable control, such as major technical failures, disruptions of essential platforms, official measures or natural events. The project period is postponed accordingly.
14. Project pause
If the Client does not respond for an extended period despite requests and the project therefore cannot reasonably continue, Mokkaa may pause the project. The reserved period is not automatically extended. Work resumes subject to availability; additional effort may be charged after prior notice.
15. Content and third-party rights
The Client ensures that all copy, images, logos, fonts and other materials provided may be used lawfully. Mokkaa is not obliged to verify this.
Fonts, stock material, software, Showit, AI tools and other external services are subject to the licence terms of their providers.
16. Rights of use
Upon full payment, the Client receives unlimited commercial rights of use, in time and territory, to the final custom design – for Brand Weeks in particular the final logo system. This includes publication, use in all media and further editing.
Unselected drafts, interim versions, working files and discarded concepts are not part of the transfer of rights. Third-party rights remain unaffected.
17. Showit and external systems
Websites are built in Showit. For continued use, the Client needs their own Showit account with an active subscription.
Costs for Showit, domains, newsletter or booking systems, fonts, stock material and other external services are not included unless expressly agreed. External tools are connected within the agreed scope once accounts are set up and access is provided.
Mokkaa accepts no responsibility for the availability, pricing, technical changes or discontinuation of third-party services.
18. Domain, launch and existing websites
When switching a domain, an existing website may go offline temporarily or permanently. The Client backs up any content of the previous website beforehand. No fixed time can be guaranteed for delays caused by domain providers, DNS changes or other third parties.
19. SEO
Where included in the offer, basic on-page measures are implemented, such as page titles, meta descriptions and a clean heading structure. An individual SEO strategy, keyword research or specific rankings and visitor numbers are not owed.
20. AI-assisted services and AI Brand Imagery
Mokkaa may use AI tools for ideation, research, copy and visual concepts. When AI Brand Imagery is booked, generative systems are used to create the final images.
Due to the generative process, individual details, people, objects or lettering may vary and cannot always be reproduced exactly. For very specific product or portrait requirements, AI Brand Imagery does not necessarily replace traditional photography. Unselected variants are not part of the handover.
21. Website copywriting
Booked copy is written on the basis of the Client's information on business, positioning, services, audience and brand voice. The Client remains responsible for factual accuracy, in particular of services, prices, professional statements and legally relevant information.
22. Legal content
Mokkaa does not provide legal, tax or data protection advice. As part of the Website Weeks, pages for the legal notice and privacy policy are created and a cookie banner is set up technically. The Client provides the content of these legal texts and has them reviewed if required. Technical setup does not constitute a legal review of the website.
23. Approval and publication
Before publication, the Client may review the website or services. By approving, the Client confirms that design, content and implementation essentially correspond to what was agreed.
Identifiable technical errors within the agreed scope are fixed within a reasonable time. Minor errors that do not significantly impair use do not entitle the Client to withhold approval or payment. Changes of taste after approval are not a defect.
24. Handover and backups
On completion, the Client receives the agreed final files and access – for websites including a personal handover and video tutorials.
Project files remain available for download for six months after completion. Permanent archiving is not owed; the Client backs up their files themselves. After completion, we recommend changing any passwords shared for the collaboration.
25. Changes after handover
After handover, responsibility for later changes lies with the Client. Mokkaa is not liable for errors caused by changes made by the Client or third parties, new integrations or changes to external platforms. Maintenance, extensions or fixes can be commissioned separately.
26. Warranty and liability
Mokkaa provides its services with due professional care and is liable within the statutory provisions for damage caused intentionally or through gross negligence. To the extent permitted by law, liability for indirect damage, consequential damage and loss of profit is excluded.
No guarantee is given for specific business results, revenue, rankings or visitor numbers. Mandatory statutory provisions remain unaffected.
27. Confidentiality and portfolio
Confidential information and login details are treated confidentially.
Mokkaa may show final work after its publication as a reference on its website, in its portfolio and on social media, unless otherwise agreed before the project starts.
28. Communication
Communication takes place via the agreed channels, in particular email, WhatsApp and video calls. For essential notices such as postponements or termination, Mokkaa may require text form.
29. Final provisions
Should individual provisions of these Terms be invalid, the validity of the remaining provisions is not affected. The invalid provision is replaced by the statutory rule.
Swiss law applies. The place of jurisdiction is Zurich, to the extent permitted by law. Mandatory statutory places of jurisdiction, in particular for consumers, remain reserved.
The version of these Terms valid at the time the contract is concluded applies. This English version is provided for convenience; in case of doubt, the German version prevails.
